Senior Corporate Counsel

Serving as a strategic legal advisor throughout the organization on a variety of issues and projects, the Senior Corporate Counsel will be responsible for managing a wide range of legal responsibilities with an emphasis on supporting strategic projects.  The Senior Corporate Counsel will work closely with colleagues throughout the organization, gaining a sophisticated understanding of the company’s business and actively contributing to the strategic growth of the company. 

This position will require the Senior Corporate Counsel to be a highly experienced legal professional with a demonstrated track record of accountability and the ability to deliver quality work product on a timely basis.  This position requires the Senior Corporate Counsel to work independently while possessing experience and judgement to know when to involve others, be a creative thinker and problem-solver and possess a collaborative, team-player attitude. 

KEY RESPONSIBILITIES

 

  • Serve as a member of the senior leadership team and a trusted legal advisor to colleagues throughout the company
  • Support business development initiatives including acquisitions, licensing and strategic partnerships by providing counseling on transaction structure and terms, preparing letters of intent and participating in negotiations
  • Provide legal advice on operational and strategic initiatives by working closely with operations, product development, IT, marketing, finance and human resources
  • Assume primary responsibility for drafting, reviewing and negotiating contracts with vendors and strategic partners
  • Oversee corporate and regulatory compliance obligations, including corporate requirements, contractual compliance obligations and data privacy
  • Support the General Counsel with policy, risk management and governance initiatives
  • In collaboration with General Counsel, manage the company’s intellectual property portfolio
  • Review and analyze applicable laws and regulations affecting the business, including new and changing laws and regulations, and proactively inform and make recommendations

QUALIFICATIONS                

  • Significant corporate law experience, including both in a law firm setting and as part of an in-house legal team
  • JD degree from an accredited law school and membership in good standing with the state bar
  • Minimum of 8 years of relevant legal experience
  • Experience with compliance and working in a regulated industry is preferred
  • Demonstrated expertise in contract negotiation, preparation and enforcement
  • Strategic legal thinking and capability of presenting practical legal solutions
  • Proven record of integrity and ability to work well with colleagues throughout an organization
  • Excellent communication and presentation skills, including the ability to effectively communicate complex legal concepts clearly
  • Strong organizational skills and accountability with ability to manage multiple projects at once, follow through and meet deadlines
  • Demonstrated ability to be self-motivated and proactive
